Limited Liability Partnerships : Limited Liability Partnerships Liquidation and Insolvency

What does insolvency proceedings signify?

The proceedings include the measures to deal with the LLP debts. There are several types of insolvency proceedings applicable to the limited liability partnership.

Is it necessary for all limited liability partnerships to go through insolvency proceedings before it is dissolved?

If the registrar find reasons to realize that the LLP is not carrying on a business or it is not at all operational then the name of the limited liability partnership needs to be struck off from the register and it gets directly dissolved without any liquidation taking place.

Is there any for anyone to supervise insolvency procedures?

All administrators, liquidators, supervisors or administrative receivers, who has taken office on December 29 or after it, have to be an authorised practitioner on insolvency. If it is a Receiver manager, who has been appointed by the Law of Property Act then there is no need of any authorisation. The authority who are eligible to offer the authorisation to the insolvency practitioners include,

• The Insolvency Practitioners' Association;
• The Chartered Association of Certified Accountants;
• The Institute of Chartered Accountants in Ireland;
• The Institute of Chartered Accountants in England and Wales;
• The Institute of Chartered Accountants in Scotland;
• The Law Society;
• The Law Society of Scotland; or
• The Secretary of State for Business, Innovation and Skills.

What are the rules pertaining to the members of an insolvent limited liability partnership?

It is the duty of the administrator, the Official Receiver, the liquidator or the administrative receiver to send a report to the Secretary of the State. The report includes an overview on the conduct of the members of the office present during the last 3 years of the LLP. It is also the duty of the Secretary to take the decision that whether the disqualification order to be taken against a member is for public good or not.

What is meant by voluntary arrangement?

As a LLP wants to make an agreement with the creditors with a proposition a 'scheme of arrangement of its affairs' or 'composition in satisfaction of its debt', it is referred as a voluntary arrangement. The arrangement bears an approval from the court and agrees on the settlement of the debts between the LLP and the creditors.
